
Mr. Drazan, 40, has been a member of Vertel’s board since January 1996 and a general partner of Sierra Ventures, a venture capital firm, since 1985. He is a director of Digital Generation Systems, a multimedia network distribution company, and FaxSav, an Internet-based document distribution company, as well as several private companies. Mr. Drazan holds a B.S.E. in engineering from Princeton University and an M.B.A. from New York University.
Mr. Oringer, 56, has been a member of the company’s board of directors since February 1999 and has served as the managing director of consulting firm Communications Capital Group since November 1994. For more than five years prior to joining the Communications Capital Group, he was employed by Telesciences Inc., a telecommunications management software company, where he served most recently as chairman of the board and chief executive officer. Mr. Oringer is a director of Verilink Corp., a maker of wide area network access products; Tekelec Inc., a manufacturer of telecommunications test equipment and signaling system 7 switching systems; and Digital Microwave Corp., a manufacturer of wireless telecommunications equipment. He holds a B.S. in engineering from the Stevens Institute of Technology, an M.S. in electrical engineering from the California Institute of Technology and an M.B.A. from Santa Clara University.

Also at the meeting, Vertel announced that Craig W. Johnson and Gilbert P. Williamson have resigned as directors of the company. Vertel’s board currently comprises four members, including Mr. Brown, Mr. Drazan, Mr. Oringer and Mr. Ralph Ungermann. “We’d like to acknowledge and thank Craig and Gil for their service and contributions to Vertel,” Mr. Brown said. “Over the past five years, they have helped guide the company through an important transition, and we wish both men the very best for the future.”
