
Multi-management solutions offer communication providers operations support systems (OSS) that address diverse elements, protocols, and configurations. Vertel intends to aggressively participate in this emerging market. The acquisition will be accounted for as a merger under the purchase method of accounting and is for total consideration of $3 million in cash. Expersoft CEO William Atkinson will join Vertel’s senior management team as Senior Vice President of Worldwide Sales and Tom Greene as Vice President, Expersoft Engineering. Vertel will continue to operate Expersoft’s facility in San Diego, Calif., and Expersoft’s team of about 30 engineers, professional services and technical support personnel will add to Vertel’s existing cache of engineering and R&D expertise.
The acquisition of Expersoft adds standards-based, high performance CORBA technology to Vertel’s portfolio of network management solutions for the telecommunications market. Vertel intends to leverage this advanced object distribution technology, designed by Expersoft specifically for carrier-grade telecommunications applications, to extend its market focus to multi-management solutions. With its expanded product suite, Vertel will be able to offer integrated solutions across all TMN levels, including embedded technology, where Expersoft’s highly optimized technologies will provide new options for intelligent agents, providing timely and cost effective interoperability features for network elements and element management systems. The acquisition greatly enhances Vertel’s ability to bring new products to market quickly to meet the growing customer demand for multi-management solutions. The company plans to announce a new generation of object management solutions designed specifically for carrier grade OSS in early 2Q 1999.

In addition to expanding Vertel’s solutions portfolio, the Expersoft merger also strengthens the company’s position as a solutions provider to the exploding IP telephony market. Expersoft’s ongoing relationship with Sprint ION, an industry leader in public IP telecommunications networks and services, gives Vertel greater access to the rapidly emerging IP telecommunications market, where the company will play a pivotal role in managing the connection between the enterprise and public IP telecom infrastructures.
A fundamental strength of Expersoft’s product architecture is plug and play support for multiple transport protocols and message formats. The result is an ideal mechanism for integrating the many communications technologies and object models used in a telecommunications environment, including CORBA, Microsoft's DCOM, ATM, CMIP, IIOP, and others. Expersoft's platform also supports popular programming languages. The essence of multi-management solutions is support for this kind of diversity in a robust and scalable environment.
