Vertel Expands Management Solutions Portfolio With Acquisition of Expersoft Corporation

TMN Leader Gains Carrier-Grade CORBA Capabilities To Offer Integrated, Multi-Management Technology Based Solutions To Its Customers

Woodland Hills, CA,  February 24, 1999 –  Vertel®  (NASDAQ:VRTL), a leading supplier of telecommunications network management software, today announced its agreement to acquire Expersoft Corporation, a pioneer in distributed object computing technologies, to support a new generation of "multi-management solutions."  Multi-management solutions offer  communication providers operations support systems that address diverse elements, protocols, and configurations, and Vertel intends to aggressively participate in this emerging market.  The acquisition, which will be accounted for as a merger under the purchase method of accounting, is for a purchase price of $3 million in cash and is expected to close in mid-March 1999, subject to customary closing conditions.

The acquisition of Expersoft adds standards-based, high performance CORBA technology to Vertel’s portfolio of network management solutions for the telecommunications market.  Vertel intends to leverage this advanced object distribution technology, designed by Expersoft specifically for carrier-grade telecommunications applications, to extend its market focus to multi-management solutions.  With its expanded product suite, Vertel will be able to offer integrated solutions across all TMN levels, including embedded technology, where Expersoft’s highly optimized technologies will provide new options for intelligent agents, providing timely and cost effective interoperability features for network elements and element management systems.

Expersoft’s carrier grade CORBA solutions were developed in conjunction with an industry leader in public IP telecommunications networks and services. By adding Expersoft’s products and customers to their portfolio, Vertel will now have greater access to the rapidly emerging IP telecommunications market and  play a pivotal role in managing the connection between the enterprise and public IP telecom infrastructures.  The new platform also extends Vertel’s interoperability infrastructure for entry into IP telecom provisioning.
